1. Acceptance of TermsBy accessing or using Start Right Now (the “Platform”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree, you must not use the Platform or Services.These Terms apply to all services offered through the Platform, including but not limited to incorporation assistance, business name searches, NUANS reports, AI tools, business number setup, digital minute books, bundled plans, and related services (collectively, the “Services”).
2. Nature of ServicesStart Right Now is a
technology and administrative platform designed to help entrepreneurs access business registration and organizational tools in Canada.We act solely as a
facilitator and service provider.
We are
not a government agency, law firm, accounting firm, or professional services provider. We do
not provide legal, tax, accounting, or financial advice. Certain Services may be fulfilled through third-party providers, government registries, or affiliate partners. We do not control and are not responsible for third-party outcomes.
3. No Professional Advice & Due Diligence All information, tools, templates, documents, and AI-generated outputs provided through the Platform are for
general informational and administrative purposes only.You acknowledge and agree that: We do not provide professional advice of any kind; You are solely responsible for reviewing, verifying, and approving all documents and filings; You must conduct your own due diligence and consult licensed professionals as needed. Your reliance on the Platform and Services is entirely at your own risk.
4. AI Tools DisclaimerThe Platform may include AI-powered tools. AI outputs:May be inaccurate, incomplete, or outdated; Are not reviewed or verified by Start Right Now; Do not replace professional judgment. You accept full responsibility for any use of AI-generated outputs.
5. User Responsibilities You agree that: All information you provide is accurate and complete; You are responsible for compliance with all applicable laws; You will not misuse the Platform or engage in unlawful activity; You are at least 18 years old and legally capable of entering a binding contract.
6. Plans, Pricing & Payments Payments are processed securely via Stripe.
All prices are in Canadian dollars unless stated otherwise.
Plans Offered Minute Book Digital — $99/year subscription
Growth Plan — $199, which includes bundled digital services and complimentary incorporation assistance“Incorporation” is offered as a
complimentary administrative service only.
No incorporation service fee is charged.
Government filing fees are charged separately and are non-refundable.
7. Government & Third-Party Fees Government fees, registry fees, and third-party service costs are charged on behalf of external entities. Once submitted or incurred, these fees are
non-refundable, regardless of outcome, delay, rejection, or error.
8. Minute Book Digital ServicesMinute Book Digital is a
self-service, subscription-based digital record-keeping platform.
a) Nature of Service: We do not review, verify, audit, or guarantee the accuracy, completeness, or legal compliance of any documents created, uploaded, generated, or stored.
b) User Responsibility You are solely responsible for:Setting up your minute book;Reviewing all documents;Ensuring documents are properly executed and legally compliant.
c) Use & Refunds Once Minute Book Digital is accessed or used — including generating documents, uploading records, or signing documents — the service is deemed delivered and
non-refundable.
d) Subscription & Renewal Subscriptions renew annually unless cancelled prior to renewal.
Cancellation prevents future charges only. Renewal fees are non-refundable.
9. Bundled Plans (Growth Plan)The Growth Plan includes bundled digital services, including Minute Book Digital and complimentary incorporation assistance.If
any bundled service is accessed or used, the Growth Plan is considered delivered and
non-refundable.Refunds are only available within sixty (60) days
and only if no bundled services have been accessed or used.
10. Refund Policy (Unified)Government fees: Non-refundable once submitted
Minute Book Digital: Refundable within 60 days only if unused
Bundled Plans: Refundable within 60 days only if no bundled services are used
Renewals: Non-refundable No refunds are provided once Services are delivered or used, except where required by law.
11. Discretionary RefundsAny refunds, credits, downgrades, or goodwill adjustments not explicitly required under this policy are granted
solely at our discretion and do not establish precedent or waive these Terms.
12. Intellectual PropertyAll Platform content, software, branding, designs, and materials are owned by Pixelated Labs Inc. or its licensors.Unauthorized copying, modification, or distribution is prohibited.
13. Limitation of LiabilityTo the maximum extent permitted by law:We are not liable for indirect, incidental, consequential, special, or punitive damages;We are not responsible for government decisions, delays, rejections, or errors;We are not responsible for document accuracy or legal sufficiency.
Total aggregate liability shall not exceed the amount paid by you to Start Right Now in the twelve (12) months preceding the claim.If no subscription fee was paid, liability shall be zero.
14. Release & IndemnificationYou agree to release, defend, indemnify, and hold harmless Pixelated Labs Inc., Start Right Now, and their officers, directors, employees, contractors, and partners from any claims, losses, damages, or liabilities arising from:Information you provide;Your use of the Platform or Services;Errors, omissions, or outcomes related to filings or documents;Your failure to comply with applicable laws.
15. Governing LawThese Terms are governed by the laws of the Province of Ontario, Canada.
All disputes shall be resolved exclusively in the courts located in Toronto, Ontario.
16. Changes to TermsWe may update these Terms at any time.
Continued use of the Platform constitutes acceptance of the revised Terms.
